A commercial deed is not a will variation

This deed of variation review tool reads a commercial deed that amends an existing business-to-business contract. Inheritance Tax Act 1984 s.142 is a different instrument: a variation in writing, within two years after a death, of dispositions of the estate. HMRC form IOV2, marked 09/14, says an inheritance variation does not have to be by formal deed. A two-year estate window and an eligibility yes or no do not read the changes, the effective date, the rest-continues sentence, a guarantor consent or the execution block on this business file.

What the marked variation deed shows

Line on the fileWhat that sentence is doingWhat the mark is for
What changesNames the original contract and the words deleted, replaced or added. A heading with no operative text is the flag. LexisNexis boilerplate 28.3, fetched 11 October 2026, asks which clauses change. The Cabinet Office agreement of 21 October 2013 puts changes in Annex 1.That annex is a security-classification change, not a price or scope.
Effective dateThe sentence that says when the changes take effect. Cabinet Office clause 2.1 uses the date of that agreement. Silence is a flag, not a finding of a start day.Inheritance Tax Act 1984 s.142 and HMRC IOV2 time an inheritance variation, not a business contract.
Rest continuesWhether unamended clauses continue. The LexisNexis 28.3 example keeps the existing agreement in full force except as expressly amended, and the quote breaks off. Cabinet Office paragraph (D) continues the original contract subject to Annex 1.Silence is not a holding that every old clause survives.
Guarantor consentOnly where a guarantor or a guarantee is named. Rocket Lawyer, last reviewed 3 March 2025, includes a consent that the guarantee remains in full force. Winckworth Sherwood, 12 October 2018, reads Holme v Brunskill as release unless the change is self-evidently insubstantial. If no guarantee is named, the row is absent. Do not declare a guarantee discharged.
Deed executionWhether the paper is clear on its face that it is a deed and is validly executed as one. Law of Property (Miscellaneous Provisions) Act 1989 s.1(2) is the pointer. Section 1(2A) says a seal alone does not show that intention.Company blocks are read against Companies Act 2006 s.44 and s.46.

The variation deed

Pros

  • ✓The five lines in the table are marked on the uploaded file, with an England and Wales pointer beside the execution block.

Cons

  • ✗A paper relied on as a deed that is not expressed to be executed as a deed, or a variation that names a guarantor and has no consent sentence, goes to a solicitor with the marked file. The pass does not replace a solicitor and does not promise an outcome.

The signed-variation procedure

Pros

  • ✓The live article of 10 September 2026 at /en-gb/blog/no-oral-modification-signed-variation-review is the procedure inside an existing contract: writing, signature, who may sign a change, and whether email or e-sign is named.

Cons

  • ✗That procedure is not this deed. Rock Advertising Ltd v MWB [2018] UKSC 24 structures the article. This page does not retell it.

A firm checklist or a blank template

Pros

  • ✓Rocket Lawyer, Sprintlaw UK of 30 October 2025, Simply-Docs and the LexisNexis precedent of 17 September 2026 are drafting neighbours.

Cons

  • ✗A template is not the file already in hand. An estate checker and HMRC IOV2 answer a different instrument.

Upload the variation deed

1

Confirm the commercial file

The upload is the whole deed, PDF or DOCX, that amends an existing business-to-business contract. If the file redirects an inheritance, a will or an intestacy share, it is the wrong paper. If the file replaces a party, that job is a novation, and this page does not write that file. If the file varies a commercial lease, that neighbourhood is the commercial lease tool.

2

Upload that deed

Open Analyse a contract at /document-analysis and upload the PDF or DOCX you hold. The pass reads that file. It does not draft a replacement clause and it does not fill a blank schedule.

3

Read the five marks

What changes, the effective date, the rest-continues sentence, guarantor consent where a guarantee is named, and the execution block are marked on the uploaded variation deed, with a short explanation and an England and Wales pointer.

4

Send the clash with the marked file

Where the paper is relied on as a deed and is not expressed to be executed as a deed, or it names a guarantor and has no consent sentence, that clash goes to a solicitor with the marked file. The pass does not promise an outcome and does not replace a solicitor.

Checkory is a deed of variation review tool. A commercial deed of variation arrives as one file that amends an existing business-to-business contract, and on that file it is not obvious which clauses actually change, which date those changes take effect, whether a rest-continues sentence is there, whether a named guarantor consents, or whether the paper is executed as a deed.

The same variation deed comes back with flags on the changes, the effective date, the rest-continues sentence, guarantor consents and deed execution, plus a short explanation and an England and Wales pointer. Before this variation deed is relied on, those are the sentences to point to. A clash on deed execution, or a named guarantor with no consent, goes to a solicitor with the marked file.

What comes back on the variation deed

The whole variation deed in one upload

The job is one commercial deed, PDF or DOCX, that amends an existing business contract. Upload it at Analyse a contract. The artefact is that same file with risk flags, a short explanation, and a statute pointer where a provision of England and Wales may apply. It is not a chat summary and it is not a detached score.

Five lines and one statute pointer

The proof on the uploaded deed is five sentences highlighted together: the operative change, the effective-date sentence, the rest-continues sentence, the guarantor-consent sentence where a guarantee is named, and the execution block. Beside the execution block sits Law of Property (Miscellaneous Provisions) Act 1989 s.1, fetched 11 October 2026. An instrument shall not be a deed unless it makes it clear on its face that it is intended to be a deed and it is validly executed as a deed. The page records no known outstanding effects and says revised legislation may not be fully up to date. None of these pointers is a prediction of a judgment.

What changes on the variation deed

The deed should identify the original contract and the words that move. A heading that the parties agree to vary the contract, with no deleted, replaced or added text under it, is the flag. The mark does not draft the replacement clause.

Which clauses the amending paper names

LexisNexis boilerplate 28.3, fetched 11 October 2026, says the amending agreement should follow the original amendment provisions and make clear which clauses change, whether others remain in effect, and from which date. Rocket Lawyer, last reviewed 3 March 2025, asks which clause, which text, and the new text. Sprintlaw UK, Alex Solo, 30 October 2025, says to name the contract by parties, date and title, using a deletion and replacement or a named new clause. The mark does not draft the replacement.

The Cabinet Office agreement of 21 October 2013 names the original contract in the recitals. Clause 2.1 varies it as set out in Annex 1, a security-classification change, not a price.

When the changes take effect

Clause 2.1 runs from the date of that agreement. Rocket Lawyer leaves a blank for the last signature or another agreed date. Sprintlaw says an earlier start must be written while the deed is signed now, which is a drafting note, not a section of the 1989 Act. Do not import a United States effective-date rule from Genie AI, fetched 11 October 2026, a notary, or a read-back to the date of death. Silence is a flag, not a start date.

“This Amending Agreement is supplemental to the Existing Agreement. Except as expressly amended by this Amending Agreement, the Existing Agreement shall remain in full force and effect. LexisNexis boilerplate 28.3, public page, fetched 11 October 2026. The quote on that page breaks off there.”

How the rest of the contract continues

The flag is whether the unamended bargain survives. Do not finish the LexisNexis example, which breaks off above. Cabinet Office paragraph (D) says that, subject to Annex 1, the original contract shall continue in full force and effect in all respects. That is the wording in the fetched file. Rocket Lawyer and Sprintlaw keep the original in force except as varied. A precedence line, if present, lets this Variation win a conflict. Silence on precedence is not a holding that the old clause wins.

Only a named guarantor or guarantee is marked. Rocket Lawyer has the guarantor agree the changes and confirm the guarantee remains in full force. Simply-Docs, fetched 11 October 2026, lists an optional consent on its template. Winckworth Sherwood, 12 October 2018, Edward Lamport, treats Holme v Brunskill as release unless the alteration is self-evidently insubstantial, so the practice is consent. A preservation clause can miss a change outside its purview. A 2005 decision in that note, unnamed here, replaced loans after the guarantee. That is not a finding on this file. If no guarantor is named, the row is absent. A see-to-it guarantee on its own is the holding-company guarantee article, 10 September 2026.

How the paper is executed as a deed

Section 1(2) of the 1989 Act requires both a clear face intention and valid execution as a deed, whether by describing itself as a deed or expressing itself to be executed or signed as a deed or otherwise. Section 1(2A) says it is not taken to make that clear merely because it is executed under seal. Section 1(3) says an individual validly executes a deed only if it is signed by that person in the presence of a witness who attests the signature, or at that person's direction in that person's presence and the presence of two witnesses who each attest, and it is delivered as a deed. Section 1(4) says sign includes making one's mark.

The execution block is where the file does or does not say it is executed as a deed.

Company signature under the 2006 Act

Companies Act 2006 section 44, fetched 11 October 2026, applies in England and Wales or Northern Ireland: common seal, two authorised signatories, or a director with an attesting witness. Every director is an authorised signatory, and so is the secretary where section 44(3)(b) applies. Expressed as executed by the company, that signature matches the seal. Someone signing for two companies signs once in each capacity. Section 44(5) is only for a purchaser in good faith for valuable consideration, not an ordinary services variation. A Schedule 11A note yet to be applied by 2026 c. 23 does not rewrite the rule.

Delivery as a deed

Section 46 requires due execution and delivery for section 1(2)(b) of the 1989 Act. Delivery is presumed unless a contrary intention is proved. Flag postponed delivery. Do not decide that it occurred. Practice guide 8, updated 14 September 2026, reads Law Com No 386 (September 2019) as physical presence, including through glass. That is not a video-witness verdict on this business deed.

When consideration sits beside execution

In England and Wales, Rocket Lawyer requires agreement plus consideration or a deed, and the original variation clause still applies. Sprintlaw uses a deed when consideration is missing or the contract requires one. Simply-Docs and the Cabinet Office file are not that rule: the first is a template note, the second an agreement that recites consideration. LexisNexis, updated 17 September 2026, says no consideration is required. Its flat twelve-year line is a gloss. Limitation Act 1980 s.5 is six years for simple contract. Section 8 is twelve years for a specialty, unless a shorter period in that Act applies. Do not treat every claim on this deed as having twelve years.

💡

The England and Wales pointer stays on this file

The statute pointer on this page is England and Wales. Companies Act 2006 s.44 also names Northern Ireland. This page does not become a Northern Ireland guide and does not set out Scots law. A first pass on the uploaded file does not replace a solicitor and does not promise an outcome.

Contract deed of variation review tool

A redline of two drafts is not this upload.

Commercial deed of variation review

A lease variation stays on the commercial lease tool for England. This page does not write a surrender-and-regrant guide.

Upload a deed of variation

HMRC form IOV2, marked 09/14, times an inheritance variation to two years after the death and says it need not be a formal deed. Section 142 needs a statement that subsection (1) applies, includes personal representatives where extra tax results, and can block a read-back for money or money's worth. Do not copy that window onto a business contract.

❌

An estate checker does not answer this deed

A will-variation checker, the HMRC inheritance checklist, or a blank variation template answers a different job. Those returns do not mark the change sentence, the effective date, the rest-continues sentence, a guarantor consent where a guarantee is named, or the execution block on this commercial file. A paper that is not expressed as a deed, or a variation that names a guarantor and shows no consent, still goes to a solicitor with the marked file. The pass is not a promised outcome and does not replace a solicitor.

A signed-variation procedure stays on the blog

If the only fight is the no-oral-modification sentence, read the signed-variation procedure, 10 September 2026. This page does not retell it.

A change-control procedure stays on the blog

Change control in a master and a statement of work is the change-control article, 24 September 2026. The master and the statement of work stay on their own pages.

Execution and authority stay on their articles

Witness, delivery and electronic signature as a how-to stay on the execution article. Who can bind the company stays on the authority article, 31 August 2026. This page does not decide authority.

A novation and a template stay off this page

Rocket Lawyer says not to use its variation agreement to change a party. No novation URL is written here. A template from Genie AI, TemplatesUK, Juro or Docue is a draft, not the file already held.

Chat and a Word add-on stay off this page

A general chat, a Word add-on and contract lifecycle software are a different offer. The change sentence, the effective date, the rest-continues sentence, a guarantor consent where a guarantee is named, and the execution block are the lines a reader can point to. Before you sign, a paper that is not expressed as a deed, or a variation that names a guarantor and shows no consent, goes to a solicitor with the marked file.

FAQ

Which file should be uploaded for this review?

The whole commercial deed, as a PDF or DOCX, that amends an existing business-to-business contract. An inheritance redirection, a will, a lease variation, a novation that replaces a party, and a blank template are different papers.

What does a missing effective date show?

Silence is the mark. It is not a finding that the change started on a particular day. Inheritance Tax Act 1984 s.142 and HMRC form IOV2 time an inheritance variation. They are not the date on a business contract. A United States effective-date rule is not imported onto this deed.

Does silence keep the unamended clauses in force?

No. The mark is whether the file has a rest-continues sentence, such as a line that the original contract continues in full force and effect except as amended. Silence is not a holding that every old clause survives. Absence of a precedence sentence is not, by itself, a holding that the old clause wins.

When is a guarantor consent left unmarked?

When the file does not name a guarantor or a guarantee of the contract being varied. The row is not invented. Where a guarantee is named and there is no consent that it continues as varied, that clash goes to a solicitor with the marked file. The note of 12 October 2018 on Holme v Brunskill is not a finding that this guarantee is discharged.

Does a company seal by itself show a deed?

No. Law of Property (Miscellaneous Provisions) Act 1989 s.1(2A) says execution under seal does not, by itself, make it clear that the instrument is intended to be a deed. A company block is read against Companies Act 2006 s.44 and s.46: two authorised signatories, or a director and an attesting witness, plus delivery as a deed. A seal, a land-registry form or a video witness is not a decision that this business deed is complete.

Which clashes go to a solicitor with the marked file?

A paper relied on as a deed that is not expressed to be executed as a deed, or a variation that names a guarantor and shows no consent. The lines a reader can point to are the change sentence, the effective date, the rest-continues sentence, a guarantor consent where a guarantee is named, and the execution block. The pass does not replace a solicitor and does not promise an outcome.
