Framework Supply Agreement Review Tool: Call-Off Risks Marked on Umbrella
Upload a framework or umbrella supply draft. Flags mark the call-off, the price index, the minimum volume and the precedence sentence.
Checkory is a framework supply agreement review tool. A framework or umbrella supply draft arrives as one PDF or DOCX. On that file you cannot see whether goods move only when a call-off is placed, whether the price moves on a named index, whether the minimum volume is a forecast or a duty to take the goods, or whether a later purchase order or supplier acknowledgement outranks the umbrella. Upload the umbrella. The same file comes back with flags on the call-off sentence, the price-revision sentence, the minimum-volume sentence and the precedence sentence, plus a short explanation and an England and Wales pointer.
The four sentences still sit unread in practice when a procurement lead opens the pdf on monday morning and cannot point at the clause. The typical mistake is to treat the umbrella as a price list. Read the four sentences before you sign.

Framework or umbrella supply in one upload
Confirm the file is a private framework or umbrella for the supply of goods, with later call-offs under it. A single supply order with no umbrella belongs on the supply of goods page, dated 4 October 2026, which marks the spec, the Incoterms line, acceptance and the warranty. An exclusive supplier or requirements commitment stays on the exclusive-supplier article, dated 29 September 2026. Shortfall and rollover arithmetic stays on the minimum-volume article, dated 8 September 2026. A minimum-volume column on this file leaves that walk on the article.
Which sentence governs the later order
Before the first call-off, name which sentence governs the later order: the call-off mechanic, the price-index revision, the minimum volume, or a purchase order or supplier acknowledgement that the precedence clause does not control. A silent or reversed precedence clause, a minimum the call-off contradicts, and a price sentence with no manner of fixing it go to a solicitor with the marked file. Start at Analyse a contract.
What the four sentences on the umbrella show
The table is the proof on the uploaded umbrella. Section 2 sits beside the call-off line and section 8 beside the price line. No rate, shortfall sum or court result is filled in.
Call-off, price index, minimum volume and precedence on the umbrella.
| Sentence on the umbrella | What to read | What you do with the mark |
|---|---|---|
| Call-off | Whether any quantity is due before an order is placed, or the umbrella already promises the goods. Section 2 asks for a transfer of property for a price. | Flag a silent call-off sentence, and a sentence that calls orders optional while another sentence already promises quantity. |
| Price index | Whether the revision names a series, a base, a date and a fallback if that series stops, and whether a call-off states a different price. | Flag a revision with no series or no fallback, and a clashing call-off price. Leave any published rate off the page. |
| Min volume | Whether the minimum reads as a forecast or as a duty to take the goods. | Flag that sentence only. Shortfall, rollover and a day count stay on the minimum-volume article. This column is not that article. |
| Precedence | Whether the umbrella sits above a purchase order and a supplier acknowledgement, or that fight is left open. | Flag a missing precedence sentence and one that puts the acknowledgement above the umbrella. The mark is not a promise about a court. |
Framework or umbrella supply
Pros
- ✓Later call-offs sit under one umbrella. The file may leave no sale until an order is placed. The marks are the call-off, the price revision, the minimum volume and precedence.
- ✓Before the first order you can see which of those four sentences to challenge, and which clash goes to a solicitor with the marked file.
Cons
- ✗An umbrella that does not itself transfer property in the goods for a price may leave no contract of sale until the call-off. A later acknowledgement on supplier terms is still a precedence question.
Single purchase order
Pros
- ✓One supply order with no umbrella is the published supply of goods page, dated 4 October 2026. The marks there are the spec, the Incoterms line, acceptance and the warranty.
- ✓Use that page when the draft is the order itself and there is no framework above it. The relative path is /en-gb/pages/supply-of-goods-agreement-review-tool.
Cons
- ✗Those supply-draft flags stay on that page. This comparison does not move them here and does not edit that page.
Not a CLM suite
This page is one document type: a private framework or umbrella for the supply of goods, with later call-offs under it. It does not match orders and invoices to a signed framework, and it is not a procurement suite. It is not a chat, not LegalZoom, not a Word add-on and not contract lifecycle software. The pass does not replace a solicitor and does not predict a judgment. Scotland and Northern Ireland sit outside the England and Wales pointer.
Upload a framework supply agreement
Drop the whole framework or umbrella
Confirm the file is a private framework or umbrella for goods, with later call-offs under it. A single supply order belongs on the supply of goods page. A blank you download is not this file.
Read the four flags on the file you uploaded
Walk the call-off sentence, the price-revision sentence, the minimum-volume sentence and the precedence sentence. The artefact is the annotated file, with a short explanation beside each mark.
Analyse a contract
The upload path is /document-analysis. Take a silent precedence sentence, a minimum the call-off contradicts, and a price sentence with no manner of fixing it to a solicitor with the marked file.
A template download is not this upload
A sample framework, a government call-off form and a line loader in a buying system are different results. This step reads the umbrella you already have.

How do you upload a framework supply agreement
Drop the PDF or DOCX of the framework or umbrella you were sent. Analyse a contract is the upload path. A sample agreement, a public call-off form and a file format for loading agreement lines into a buying system are different results. This page reads the commercial umbrella you already hold, before the first call-off.
What a call-off does before any goods are bound
Sale of Goods Act 1979 section 2, read on 6 October 2026, defines a contract of sale of goods as a contract by which the seller transfers or agrees to transfer the property in goods to the buyer for a money consideration, called the price. Where property passes at once, it is a sale. Where the transfer is at a future time or subject to a condition, it is an agreement to sell, and it becomes a sale when the time elapses or the conditions are fulfilled. An umbrella that does not itself do that may leave no sale until a call-off.
Section 5 allows existing goods or future goods, to be manufactured or acquired after the contract of sale, including goods whose acquisition depends on a contingency. A purported present sale of future goods operates as an agreement to sell. A sentence that no quantity is due until an order is placed is not a single purchase order, and the mark does not become a Crown call-off schedule.
What if the umbrella is only a price list
The objection is familiar. The umbrella looks like a price list. A supplier scan has already pulled a price-change line and a minimum-purchase line. That still leaves the four sentences unmarked. Take the redline a counterparty sent last week, for example: it is not a mark on the call-off, the index, the minimum or precedence.
A price list does not show whether any goods are bound before the first order. A pulled price-change field does not show a named series, a base, a fallback, or a later order that replaces them. A pulled minimum does not show a forecast or a duty to take the goods. A redline email does not show whether a purchase order or a supplier acknowledgement outranks the umbrella. Silent precedence, a minimum the call-off denies, and a price sentence with no manner of fixing it still go to a solicitor with the marked file.

How a price revision is read on the umbrella
Section 8, read on 6 October 2026, says the price may be fixed by the contract, left to be fixed in a manner agreed by the contract, or determined by the course of dealing between the parties. Where the price is not determined that way, the buyer must pay a reasonable price. What is reasonable is a question of fact in the circumstances. Mark the revision for a named series, a base, a date, a fallback if that series stops, and a clash with the price on a call-off. Subsections (2) and (3) apply only where subsection (1) has not determined the price.
Section 9 avoids an agreement to sell at a third party valuation when that person cannot or does not make the valuation. If the goods, or any part of them, have been delivered and appropriated by the buyer, a reasonable price is due for them. Where one party prevents the valuation, the other may claim damages. A named index is that valuer only when the draft says so. The pointer beside the price line stays section 8.
The Producer Price Indices QMI, last revised 22 October 2025, describes the Producer Price Indices as monthly surveys of price changes for goods bought and sold by UK manufacturers, and as a collection of indices for those goods, split into the Producer Price Index, Export Price Indices and Import Price Indices. Frequency is monthly and coverage is the UK. A draft that says index does not, by those words alone, mean this series. No inflation rate is copied onto this page.
When minimum volume stays a column
Read the minimum as a forecast or as a duty to take the goods. Where a call-off has become a contract of sale, section 27 makes it the duty of the seller to deliver the goods, and of the buyer to accept and pay for them, in accordance with the terms of that contract. The duty applies where there is a contract of sale. A forecast that never becomes one sits outside that duty.
Section 50 gives the seller an action for damages where the buyer wrongfully neglects or refuses to accept and pay for the goods. The measure is the estimated loss directly and naturally resulting, in the ordinary course of events, from the buyer's breach of contract. Subsection (3) states a prima facie market-price difference. That difference is not computed here. Shortfall, rollover, credits, a day count and the worked spend figures stay on the minimum-volume article dated 8 September 2026. This column only asks whether the minimum can bind a later order.
The exclusive-supplier article dated 29 September 2026 separates an exclusive supplier or requirements commitment from a minimum-volume floor. If that commitment is the only fight, use the article. It is not a heading here.
What a silent precedence sentence leaves open
If the buyer order is acknowledged on the supplier terms and delivery follows, a silent precedence sentence leaves the last-shot analysis open. Tekdata Interconnections Ltd v Amphenol Ltd [2009] EWCA Civ 1209, Longmore LJ, was heard on 22 October 2009, with the judgment date on the transcript 19 November 2009. A BAILII HTML fetch returned a bot wall on 6 October 2026, so this paragraph follows the transcript mirror fetched that day. At paragraph 1, an offer on the purchaser's terms, an acknowledgement on the seller's terms, then delivery, will, other things being equal, result in a contract on the seller's terms. At paragraph 11 the traditional offer and acceptance analysis must be adopted unless the documents and the conduct show a common intention that some other terms were intended to prevail. The goods were connectors. A long trading relationship did not, on these facts, displace that analysis.
Careful drafting can survive a later shot, on its own facts. TRW Ltd v Panasonic Industry Europe GmbH [2021] EWCA Civ 1558, 28 October 2021, records the trial judge at paragraph 67: signing the customer file created no obligation to buy or sell, but if they later chose to enter supply contracts, those contracts were on the General Conditions unless the seller agreed otherwise in writing. Paragraph 68 said diverging buyer conditions are not valid even if the seller delivers without reservation. Coulson LJ recorded that the drafting was protected from later shots. There was no appeal on that point. The appeal also concerned a Hamburg jurisdiction clause. An analogy in the judgment with a public procurement call-off stays there. It does not mean every umbrella beats every later order, and a United States sales statute is not the pointer here.
Supply framework agreement review tool
A Contracko supplier upload extracts pricing, rebates, delivery, quality, exclusivity, price-change and liability. A Zylio check reads a framework and then compares later orders and invoices with it. A master-supply skill returns findings and redline language on a United States sales statute. Timings, fees, line counts and margin figures on those pages stay there. This page stays on the commercial umbrella, before the first call-off.
Call-off supply agreement review tool
A call-off on this page is a flag on the umbrella you uploaded. Blank order forms and public award schedules are forms to fill, and this page does not hand one back. Read the sentence on your file that says whether any quantity is due before an order is placed.
How the marked file goes to a solicitor
Send three clashes with the marked file: a precedence sentence that is missing or that gives the win to a supplier acknowledgement or a purchase-order form, a minimum the call-off contradicts, and a price sentence that states no manner of fixing the price. Legal Services Act 2007 section 12, read on 6 October 2026, lists reserved legal activity as a right of audience, the conduct of litigation, reserved instrument activities, probate activities, notarial activities and the administration of oaths. It also treats as a legal activity the provision of legal advice or assistance on the application of the law or on the resolution of legal disputes. This upload is not a solicitor and not a reserved activity.
The SRA warning notice Misuse of AI, published 17 August 2026, is written for solicitors and regulated individuals. It says AI tools can produce hallucinations, including fictitious cases, references or seemingly factual assertions, and that AI has no separate legal personality. People the SRA regulates remain accountable for their work. The notice is not a promise about a court result on this umbrella.
The AI contract review tool page, dated 30 August 2026 and updated 25 September 2026, states that a first pass does not replace a solicitor. The artefact is the annotated file, not a chat summary and not a detached score.
Before the first call-off the reader can name which of those four sentences to challenge, which clash goes to a solicitor with the marked file, and that the pass does not predict what a court will do and does not replace a solicitor.
FAQ
Which sentences should I be able to name before the first call-off?
The call-off sentence, the price-revision sentence, the minimum-volume sentence and the precedence sentence. Before the first call-off the reader names which of those four to challenge, and which clash goes to a solicitor with the marked file. The pass does not predict what a court will do and does not replace a solicitor.
Does section 8 fill in a missing index rate?
No. Section 8(1) of the Sale of Goods Act 1979 allows the price to be fixed by the contract, left to a manner agreed by the contract, or determined by the course of dealing. A reasonable price under section 8(2) arises only where subsection (1) has not determined it, and section 8(3) makes that a question of fact. The Producer Price Indices QMI, last revised 22 October 2025, describes monthly surveys of price changes for goods bought and sold by UK manufacturers. A draft that says index does not by itself mean that series, and no rate from a bulletin is filled in here.
When does a later acknowledgement sit on the supplier terms?
Tekdata Interconnections Ltd v Amphenol Ltd [2009] EWCA Civ 1209, Longmore LJ at paragraph 1, holds that an offer on the purchaser's terms, followed by an acknowledgement on the seller's terms, followed by delivery, results, other things being equal, in a contract on the seller's terms. Paragraph 11 requires the traditional offer and acceptance analysis unless the documents and conduct show a common intention that other terms prevail. A long trading relationship was not enough on those facts. The goods were connectors. TRW Ltd v Panasonic Industry Europe GmbH [2021] EWCA Civ 1558 shows careful drafting can be written to survive a later shot, on its own facts, including a finding that signing the customer file created no obligation to buy or sell.
Where do shortfall and rollover sums belong?
On the minimum-volume article dated 8 September 2026, which walks shortfall and rollover on one commitment. This page flags the minimum sentence on the umbrella only, as a forecast or as a duty to take the goods. Section 50(3) market-price arithmetic is not computed here, and the worked spend figures on that article stay there. An exclusive supplier or requirements commitment stays on the article dated 29 September 2026.
Does signing an umbrella force either side to buy or sell?
Not by the signature alone. In TRW the trial judge, upheld on the drafting point, found that signing the customer file with the General Conditions did not of itself create any obligation to buy or sell, but did bind later supply contracts to those conditions unless the seller agreed otherwise in writing. Section 2 of the Sale of Goods Act 1979 still asks whether property in the goods is transferred, or agreed to be transferred, for a price. A sentence that no quantity is due until an order is placed is a call-off mechanic, not a single purchase order.
Who should receive a silent precedence clause?
A solicitor, with the marked file, together with a minimum the call-off contradicts and a price sentence that states no manner of fixing the price. Legal Services Act 2007 section 12 lists reserved legal activities, including rights of audience and the conduct of litigation, and it treats legal advice on the application of the law as a legal activity. This upload is not a solicitor and not a reserved activity. The SRA warning notice Misuse of AI, published 17 August 2026, is addressed to people the SRA regulates.
