Introducer Agreement Review Tool: Flags Marked on the Introduction Paper

Upload a UK introducer or finder paper. See flags on the introduction, the authority limit, the fee trigger and whether commission continues after the term.

A UK introducer or finder paper arrives as one PDF or DOCX, and on that file it is unclear what counts as an introduction, whether a no-bind sentence still lets the finder negotiate or warrant the services, which event earns the fee, or whether commission continues after the term. An introducer agreement review tool marks those four sentences on the draft you upload, with a short explanation and an England and Wales pointer, before you sign or pay.

Drop the finder draft for a wording pass

Confirm the PDF or DOCX is a UK introducer or finder paper: the finder introduces a prospect and the recipient converts and supplies. A qualifying-referral fight, a reseller paper, or a blank template is the wrong pass.

E-sign portals and template downloads are a different job

BrokerConnect pairs a template with e-sign and identity checks. General Referral and SkySlope store a signed referral. Juro’s introducer page teaches parties, how introductions work, payment and term. Those are signature, archive or a drafting lesson. This upload flags the inbound draft.

The same file comes back with the four marks

The four marks stay on their pages, each with a short explanation.

Upload the introducer draft before the fee is earned

1

Drop the finder draft for a wording pass

Use their PDF or DOCX where the finder introduces and you convert and supply. Referral, reseller and blank-template jobs belong elsewhere.

2

Leave e-sign portals and template downloads

Signature workflows and blank templates do not flag those four sentences on the draft already on your desk.

3

Read the four marks before you sign or pay

Point at the introduction, authority, fee-event and trail sentences. A High clash leaves with the marked copy for a solicitor.

Introducer agreement review tool risk map

The proof is four sentences on the uploaded finder draft. A contact-details dump is a different earning event from a named, accepted prospect. The patterns below are not your clause numbers until they are on your file.

How this finder review differs from the referral page

The referral commission page flags qualifying referral, fee trigger, clawback and exclusivity. This page flags the introduction definition, the authority limit, the fee trigger on the finder draft, and the post-term trail. Both pages can mark when a fee is earned. Name that overlap once, then stay here on authority and on what happens after the term.

Listing papers, broker-registration forms and reseller margin stay off this URL. If the partner resells, holds stock or owns the customer relationship, the economics belong on the reseller agreement page.

This introducer or finder page

Pros

  • ✓Marks introduction, no-bind and no-warranty, the fee trigger and the post-term trail on the finder draft.

Cons

  • ✗Leaves qualifying referral, clawback and exclusivity on the referral commission page.

Referral commission page

Pros

  • ✓Marks qualifying referral, fee trigger, clawback and exclusivity when that is the fight.

Cons

  • ✗Does not read no-bind wording against an agent sentence, and does not take the post-term trail as its object.

Listing, broker or reseller paper

Pros

  • ✓A reseller, listing or broker-registration paper has its own margin, stock or protection period.

Cons

  • ✗Those fights, and a blank introducer template, stay off this wording pass.

High agent wording on an introducer fee agreement review

Read authority as a pair. On Paramount terms updated November 2024, clause 2.2 gives no authority to bind or incur liability and no holding out, clause 2.3 bars negotiations unless the supplier agrees in writing, and clause 3.2 bars statements, claims, representations or warranties except the supplier’s own literature. FLO clause 3.5 is that literature-only limit and clause 3.6 is the no-bind limit. FLO clause 3.2 and Paramount clause 18 say the contract is not, by itself, a partnership, joint venture, agency or fiduciary relationship. That label is walked in the no-partnership and no-agency disclaimer review. The mark is whether the draft still lets the finder negotiate, bind or warrant.

Harper James, updated 28 October 2021, says the referrer should have no authority to enter a contract, for example no warranties or discounts. An introducer introduces. A sales agent completes the sale. Do not use that page’s 2021 FCA paragraph as current Handbook text. Clause 2.2 and clause 3.2 of the Paramount introducer terms are the no-bind and no-warranty limit.

Continuing authority to negotiate goods

The Commercial Agents Regulations 1993, regulation 2(1) defines a commercial agent as a self-employed intermediary with continuing authority to negotiate the sale or purchase of goods, or to negotiate and conclude that sale or purchase, as fetched on 22 October 2026. Caesar, last reviewed September 2026, says a name passed on, then a step back, is outside, and discussing price and terms on the recipient’s behalf may be inside. Do not decide that status on this page.

Regulation 17, for a commercial agent, is indemnity or compensation, and compensation unless the contract says otherwise. The right is lost without notice to the principal within one year after termination. That is a solicitor question when regulation 2 is in play, not a fee for passing a name. The essay stays on the commercial agent compensation and indemnity review. The provision is regulation 17.

Regulated introductions leave with the marked file

Credit, insurance, investments, payment products, appointed-representative wording or a financial promotion is the second High clash. FSMA 2000 section 19(1) says no person may carry on a regulated activity in the United Kingdom, or purport to do so, unless authorised or exempt. Section 19(2) calls that the general prohibition. It is a pointer, not a verdict on your file. An introducer appointed representative only effects introductions and distributes non-real time financial promotions. That status is not every commercial finder. Mills & Reeve, on 11 August 2026, says authorisation depends on the facts and that specialist advice should be sought. Caesar points at credit broking and at sections 19 and 21.

✅

High agent wording leaves with the marked file

If the draft lets the finder negotiate price or terms, bind the business, or warrant the services, or if the introduction is into loans, insurance, investments or payment products, or if it uses appointed-representative or financial-promotion wording, take the marked file to a solicitor. The introducer label does not decide the legal effect, authorisation, or commercial-agent status.

What counts as an introduction on the finder draft

Named prospect, written notice, already-known exclusion

Paramount, updated November 2024, defines an Introduction as the provision of a Prospective Client’s contact details. A Prospective Client is not an existing client and has had no dealings with the supplier in the past 60 days, unless the individual agreement says otherwise. The Paramount introducer terms are a specimen, not your clause numbers. On that form the supplier need not follow up an introduction or enter a contract, and an Applicable Contract is deemed entered when it is signed. A polite reply is not signature.

FLO defines an Introduction as the details in clause 2.1, except a notice under clause 2.3 or 2.4. Clause 2.3 voids it if the prospective client confirms they wish to deal with a different introducer. Clause 2.4 voids it if the introducer or the prospective client fails to engage meaningfully before a facility agreement. A Prospective Client there has not been in negotiations in the six months before the Introduction Date. The specimen is the FLO introducer terms. Clause 2.10 says a third party later introduced by the prospective client is not, by that first introduction, an introduction by the finder. Silence on that point is the mark. Also mark whether group companies of the prospect are inside the definition.

Caesar, last reviewed September 2026, asks for a named prospect, identified in writing and accepted as new, with a way to reject prospects already known, and for a register of those acceptances and rejections. That is a pattern, not a statistic and not this file’s clause. See solicitor education on a named prospect. A contact-details handoff and a named, accepted prospect are different earning events. Mark the acceptance window, or its absence. There is no market-standard percentage on this page.

When does the introducer fee actually turn on

Trigger, base, and what has to happen first

Harper James, updated 28 October 2021, separates a fixed fee from a percentage, payment on referral from payment when the client pays, and an invoice from fees actually paid. On the FLO specimen, clause 4.3 accrues commission other than up-front fees in the trading month after income is received. Clause 4.11 allows recovery if the facility does not last six months, and pro-rata recovery between six and twelve months. That is not a market-standard percentage, and not the clawback job on the referral commission page. Mark whether the fee is net of VAT. The VAT-exclusive and gross-up review is the clause read. This page does not calculate the tax.

A missed strike result is not a fallback fee

Mills & Reeve, on 11 August 2026, summarises Barton v Morris (2023): a fee only if a property sold for more than £6.5m was not payable when it sold for £6m, because the stated circumstances excluded a fallback. Do not paste that onto your file. Mark a strike result, and what is payable if it is missed. The note is Mills & Reeve on introducer and finder fees. The same note summarises Kinled Investments v Zopa Group (2022): a later round sat outside an expired engagement and was not saved as a quantum meruit, and a later conversation did not fill that gap, on those facts. Effective cause, as summarised there, can exist where the counterparty was already known if the introducer’s efforts revived the deal. Later transactions are not covered automatically.

How long can commission run after the term

Introductions accepted before the end

Ask whether commission on introductions made before termination survives, for which customers, for how long, and whether breach cuts it. FLO clause 4.10 keeps accrual while each facility agreement remains in force after the introducer agreement ends, and not on a termination fee under the facility. That trail is those terms, not every file. The clause questions are the commission tail and pipeline review. Clause 11.2 stops commission from the termination date where they terminate for the clause 10.3 grounds. Mark the trail and the cut-off as two sentences. Do not copy those grounds onto a different file.

Silence is not a holding that no trail exists

Paramount’s effects clause makes sums already owing immediately payable, keeps clauses that relate to the period after termination, and then says that, except for accrued rights, neither party is under any further obligation. That is silence on a future trail, not a holding that no trail exists. Accrued rights are sums already earned, not new invoices. See the accrued-rights preservation review. Caesar asks for pre-termination introductions to keep earning, and for an end date. Your mark is whether the draft answers that.

Regulation 8 is a statutory trail only for a commercial agent, and only in two cases. Regulation 8 gives commission after termination only if the deal is mainly attributable to efforts during the contract and was entered within a reasonable period, or if the order reached the principal or the agent before termination, in line with regulation 7 and subject to regulation 9. Ending the contract does not automatically keep or kill the fee. During the contract, regulation 7 covers in-term commission for a commercial agent, including a customer acquired earlier for the same kind of deal, and regulation 7(2) covers an exclusive area or group. It is not a fee right for a finder who only passes a name.

Why another review does not mark this finder file

A solicitor markup that treats referral and introducer as one instruction, a US channel checklist, or a mortgage-broker report can already mention fees and authority. That does not put the introduction sentence, the no-bind sentence, the fee event and the post-term sentence on this finder file.

Caesar’s markup amends the contract for both labels. It is not this upload, and his fee stays on his page. Vaulytica’s channel-partner checklist also runs US settlement and telemarketing checks. Contract-Checker’s report is for mortgage and lending firms. Do not reuse their prices, turnaround or deletion claims. Harper James and Mills & Reeve stay as the checklists above.

💡

England and Wales pointers, and where they stop

Statute pointers on this page are England and Wales. Regulation 2(5) says the Commercial Agents Regulations do not extend to Northern Ireland. A contract under another law does not carry those pointers. Regulated introductions stay with a solicitor.

What you can name before you sign or pay

Before you sign or pay, name four sentences: introduction, authority, the fee event and the trail. If you cannot point at them, the pass is unfinished. A High clash, an agent who negotiates price or terms, or an introduction into credit, insurance, investments or payment products, goes to a solicitor with the marked file. The pass does not guarantee a fee and does not replace that solicitor.

The artefact is flags on the uploaded file, with a severity and a short explanation. It is not a chat, not a Word add-in, and not a contract lifecycle system. A person still reads the marks. That check is the human verification checklist. Open document analysis and upload the draft. Paramount’s entire-agreement clause includes a non-reliance acknowledgement on representations that are not written into the agreement. Read that beside the literature-only warranty limit. It does not decide authority.

FAQ

What comes back after I upload an introducer or finder agreement?

The draft you uploaded, with flags on four sentences: what counts as an introduction, where authority stops, which event earns the fee, and whether commission continues after the term.

Each mark has a short explanation. You do not get a rewritten agreement, a signature portal, or a chat transcript.

Is this the same job as the referral commission page?

No. The referral commission page flags qualifying referral, clawback and exclusivity.

This page flags the introduction definition, the authority limit, the fee trigger on the finder draft, and the post-term trail. Both can mark when a fee is earned. After that overlap, stay on authority and the trail.

What should I do if the finder can negotiate price or bind the business?

Treat that as a High clash. A no-bind sentence does not cancel an agent sentence that lets the finder discuss price or terms, bind the business, or warrant the services.

Take the marked file to a solicitor. This page does not decide that the finder is a commercial agent.

Does this page decide whether a regulated introduction is allowed?

No. If the introduction is into loans, insurance, investments or payment products, or the draft uses appointed-representative or financial-promotion wording, the marked file goes to a solicitor.

FSMA 2000 section 19 is a pointer for that clash. It is not a finding that this finder needs authorisation.

If the fee depends on a result the deal misses, is the fee still payable?

Mark the strike sentence. Mills & Reeve’s note on Barton v Morris describes a fee that was agreed only if a property sold for more than £6.5m, and was not payable when it sold for £6m, because the contract stated the circumstances that had to occur.

Do not paste that outcome onto your file. A missed result is not a fallback fee this page invents.

Does ending the finder contract keep commission on earlier introductions?

Only if the draft says so, and only for the customers, the period, and the termination grounds it names.

A clause that makes sums already owing payable, and then says there is no further obligation, is silence on a future trail. It is not a holding that every trail dies, and it is not a statutory tail for a finder who only passes a name.
