Parent Company Guarantee Review Tool: Flags Marked on the Guarantee
Upload a parent company guarantee. The same file comes back with flags on scope, cap, demand wording and continuing liability.
Corporate guarantee deed stays here
Pros
- ✓Upload the parent company guarantee itself — the whole deed or short guarantee file, PDF or DOCX. The same file comes back with flags on scope, cap, demand wording, continuing liability and deed formalities.
- ✓Gowling WLG Back to Basics, 14 July 2015, treats a parent company guarantee and a performance bond as separate security. A PCG commonly has no cap but stays co-extensive with the contractor.
Cons
- ✗A heading that says parent company guarantee is not the operative scope. If payment versus performance, the cap, or the deed face is silent, challenge those lines or take the clash to a solicitor with the marked file.
Surety bond wording stays on the bond page
Pros
- ✓A performance bond or on-demand bond from a bank or surety is a different instrument. Gowling notes a bond is usually capped and often expires at practical completion.
- ✓Bank issuance, surety underwriting and bond expiry diaries are not this upload. Keep those files off this parent-company page.
Cons
- ✗Do not treat bond wording as a holding-company guarantee, and do not invent a live bond URL here. The job on this page is the corporate guarantee deed the reader already holds.
Risk map on the guarantee
| Cluster on the deed | What the mark is looking for | What you do with the mark |
|---|---|---|
| Scope | Payment only, performance only, or both; one contract or many; whether amendments are included. | See what the holding company actually backs. Do not invent a performance limb the file does not state. |
| Cap | A stated liability ceiling, an unlimited line, or silence beside a capped subsidiary MSA or building contract. | See the ceiling beside the subsidiary paper. Unlimited parent paper is not safer without reading carve-outs. |
| Demand wording | Demand at any time versus after actual default; what evidence a valid demand needs. | See the call path before signature. Do not assume insolvency or a logo triggers demand. |
| Continuing liability | Anti-discharge for variation or instruction; insolvency words; longstop date or silence. | See whether the parent walks on a change. Do not declare the guarantee void. |
| Deed formalities | Deed face on the paper; holding-company execution under Companies Act 2006 s.44 and s.46. | See whether they are relying on a deed from the parent. Do not decide capacity or corporate benefit. |
Upload the parent company guarantee
Drop the guarantee deed
Confirm the file is the parent company guarantee document itself — not a comfort letter alone, not a performance bond, not a personal guarantee on a credit application, and not a Companies House audit-exemption filing. Upload the whole PDF or DOCX at /document-analysis.
Flags land on scope cap demand and liability
Walk the scope sentence, the cap or unlimited line, the demand timing and evidence sentence, the continuing or anti-discharge and longstop lines, and the deed face plus holding-company execution block.
Analyse a contract
The label is Analyse a contract. Name which silent scope, which unlimited continuing line, which any-time demand with no evidence, or which non-deed you will take to a solicitor with the marked file.
“Gowling WLG beneficiary checklist, 20 September 2017, opens with payment versus performance, the liability cap, the longstop, demand at any time versus after actual default, and what evidence a demand needs — those questions live on the sentences of this deed, not in a detached chat pack.”
A how-to checklist is not this upload
The see-to-it how-to on the blog teaches a workflow when the packet may have no deed. A Legal Prompts chat pack, a LogicBalls draft generator, or a LexisNexis paywalled checklist also do not return this guarantee with flags on the clause. This page marks the uploaded deed. A prompt summary or a newly generated draft is the wrong artefact.
Checkory is a parent company guarantee review tool. Upload the PCG itself and get the same file back with flags on scope, cap, demand wording and continuing liability. A parent company guarantee arrives as one deed or short guarantee file, and on that file it is not obvious whether the holding company backs payment only or performance as well, whether liability is capped or unlimited and continuing, when a demand may be made and on what evidence, whether variation or insolvency discharges the parent, or whether the paper is executed as a deed by the holding company rather than the trading subsidiary.
The same parent company guarantee comes back with flags on scope, demand mechanics, continuing liability and deed formalities, plus a short explanation and an England and Wales pointer. Open the upload at document analysis.
Parent company guarantee review tool
The whole guarantee in one upload
You upload a PDF or DOCX of the guarantee document. Marks stay on that deed, with a short explanation beside each flag and a statute pointer where a provision of England and Wales may apply. The contract review tool page, fetched 13 October 2026, describes risks highlighted on the clause, a short explanation, and statute links. A first pass does not replace a solicitor. The artefact is the annotated source file, not a chat summary and not a detached score.
Flags on the same deed
Five clusters are highlighted together: the scope sentence, the liability-cap or unlimited line, the demand-timing and demand-evidence sentence, the continuing or anti-discharge sentence plus any longstop, and the execution block that does or does not say the paper is a deed and that does or does not show the holding company’s Companies Act 2006 s.44 signatories. That is the proof on this file. It is not a chat, not a template, not a new draft and not a CLM.

Holding company guarantee review tool
Holding-company paper is the same PCG file
A holding company guarantee review tool, on this page, is the same gesture: upload the corporate guarantee the group issued or received. LexisNexis UK glossary, fetched 13 October 2026, describes a parent company guarantee as a contractual promise by a holding or other group company to answer for its subsidiary’s obligations, typically covering payment and/or performance. The expression is descriptive rather than statutory. The marks still land on scope, cap, demand, continuing liability and deed formalities.
Lifecycle software is not this review
Guarantee lifecycle platforms, bank issuance workflows and portfolio extractors answer a different job. They do not return this deed with flags on the clause. Stay on the file you hold. Open document analysis when the packet already contains the guarantee.
What the marked guarantee shows on scope and cap
Before this parent company guarantee is accepted or issued, read which sentences state payment versus performance scope and the liability cap. Gowling WLG, 20 September 2017, asks which obligations — payment only, performance only, or payment and performance — under a single contract or multiple contracts, and whether amendments are included. It also asks whether the guarantee has a liability cap and for what amount.
LexisNexis commercial transactions checklist, fetched 13 October 2026, defines a traditional see-to-it as a secondary promise that the primary obligor will perform; without contrary wording, the guarantor cannot exceed the primary obligor. Hill Dickinson, 28 February 2020, says a conventional see-to-it stays co-extensive with the contractor and ends if the underlying building contract ends. Flag a heading that says parent company guarantee with no operative scope. Wider or silent parent paper beside a capped MSA is a High pause, not a finding that the parent is safer.

Analyse a contractPCG review tool
Code-graph toolkits are not this page
A PCG review tool search can surface Projected Control Graph software or pull-request toolkits that share the same three letters. Those products are not a parent-company guarantee review. This page marks the parent company guarantee document, not a code graph and not a PR checklist.
This page marks the parent company guarantee
Keep the acronym in the parent-company sense. The useful object is the annotated guarantee, with severity and explanation on the clause. A first pass does not replace a solicitor. The pass does not promise an outcome and does not say the guarantee is ready for signature.
How demand and continuing liability are marked
Gowling’s beneficiary checklist asks when demand may be made — at any time, or following actual default by the Principal Debtor — and what evidence will be produced, for example a copy of the demand made on the Principal Debtor. Hill Dickinson’s top issue on JCT Design and Build 2016 clause 8.4 notes default notice, 14-day continuation, then termination notice: the PCG must say at which point the guarantor becomes liable. Flag silence on demand timing or evidence. Do not decide that a demand is valid.
Hill Dickinson also notes that changes to the underlying contract can release the guarantor unless the PCG expressly allows amendments, variations and instructions, and that insolvency is not a breach of contract under JCT Design and Build 2016, so express insolvency words are needed if that loss is to sit on the parent. Gowling asks when liability is released and whether there is a longstop date. Flag an unlimited continuing guarantee with no longstop as High handoff with the marked file. Do not declare the guarantee discharged.
When deed formalities sit beside Statute of Frauds
Mark writing, deed face and holding-company execution. Statute of Frauds 1677 s.4, fetched 13 October 2026, says no action shall be brought to charge a defendant upon a special promise to answer for the debt, default or miscarriages of another person unless the agreement, or a memorandum or note of it, is in writing and signed by the party to be charged or someone lawfully authorised. The legislation page records no known outstanding effects and notes that revised legislation may not be fully up to date.
Hill Dickinson prefers a printed signed deed because a parent rarely receives separate consideration under the underlying contract. Law of Property (Miscellaneous Provisions) Act 1989 s.1, fetched 13 October 2026, says an instrument shall not be a deed unless it makes it clear on its face that it is intended to be a deed and it is validly executed as a deed; execution under seal does not, by itself, make that intention clear.
Under Companies Act 2006 s.44, fetched 13 October 2026, a company executes by common seal or by signature — two authorised signatories, or a director in the presence of a witness who attests. Companies Act 2006 s.46 ties valid execution as a deed to due execution and delivery as a deed. Flag a trading-sub director signing for the group. Do not decide that the signatories had authority or that corporate benefit exists — that hunt stays on group-authority territory, not as a verdict on this page.

High unlimited continuing needs counsel
Send the marked file to a solicitor when the guarantee is unlimited and continuing with no longstop, when demand may be made at any time with no evidence, or when a paper is relied on as a deed but is not expressed as a deed or is not signed by the holding company. The pass names the sentence. It does not decide capacity, corporate benefit, or the claim. England and Wales is the pointer on this page.
Upload a parent company guarantee for review
A blank form PDF is not this review
Search results for upload parent company guarantee often return blank form PDFs and annex templates. Those blanks are not a review of the deed you already hold. Do not paste blank form text onto this page. The job is to mark the guarantee document in the packet.
Open the tool for the marked deed
Drop the PDF or DOCX at document analysis. Read the five clusters on the returned file. If the only fight is how to classify see-to-it versus comfort when there is no deed in hand, use the holding-company see-to-it how-to, 10 September 2026, instead of this tool URL.
Personal guarantee and AGA stay off this page
Director personal paper stays on the blog
A director’s personal guarantee on a vendor credit application is a different hunt. That workflow lives on the personal guarantee vendor credit review. Do not put a home address on this parent-company page.
Authorised guarantee agreement stays held
An authorised guarantee agreement on a lease assignment is not written here. Keep AGA content off this URL. Keep performance-bond underwriting off this URL. Keep Scotland and Northern Ireland off this page as reader systems.
What success looks like on this file
The scope sentence, the cap or unlimited line, the demand timing and evidence sentence, the continuing or anti-discharge and longstop lines, and the deed face plus holding-company execution block are the lines a reader can point to. An unlimited continuing guarantee with no longstop, a demand that can be made at any time with no evidence, or a paper relied on as a deed that is not expressed as a deed or not signed by the parent, goes to a solicitor with the marked file. The pass does not replace a solicitor and does not guarantee an outcome.
Fences that stay beside the risk map
Indemnity if underlying obligations become invalid, set-off, tax gross-up, assignment, notices and governing law stay as fences beside the five clusters, not as the page. Hill Dickinson distinguishes a secondary guarantee from a primary indemnity that generally survives defects that release a pure guarantee. Flag a primary-obligor or on-demand limb that can outstrip the subsidiary cap as High. Do not open a full UCTA reasonableness essay. Do not write a pensions contingent-asset guide.

England and Wales pointer only
Statute of Frauds 1677 s.4, Law of Property (Miscellaneous Provisions) Act 1989 s.1, and Companies Act 2006 s.44 and s.46 sit beside writing and the deed block on this page. Reserved legal activities and solicitor advice stay with a regulated firm. The first pass marks the file; it does not practise as a solicitor.
FAQ
What comes back after a parent company guarantee is uploaded?
The PDF or DOCX you uploaded, with flags on scope, cap, demand wording, continuing liability and deed formalities, plus a short explanation and an England and Wales pointer where a provision may relate. You do not get a chat summary, a newly generated guarantee, or a blank form filled in.
Does a parent company guarantee cover payment, performance, or both?
Only if the operative scope sentence says so. Gowling WLG, 20 September 2017, asks payment only, performance only, or both, and single versus multiple contracts. LexisNexis, fetched 13 October 2026, treats a traditional see-to-it as secondary and co-extensive unless wording expands it. A heading that says parent company guarantee is not the scope. Do not invent a performance limb the file does not state.
When should an unlimited continuing guarantee go to a solicitor?
When liability is unlimited and continuing with no longstop, when demand may be made at any time with no evidence, or when a paper is relied on as a deed but is not expressed as a deed or is not signed by the holding company. Take those clashes to a solicitor with the marked file. The pass names the sentence; it does not decide the claim.
Is a performance bond the same upload as a parent company guarantee?
No. Gowling WLG Back to Basics, 14 July 2015, treats a parent company guarantee and a performance bond as separate security. A bond from a bank or surety stays off this page. This tool marks the corporate guarantee deed.
Does this page replace the see-to-it how-to on the blog?
No. The holding-company see-to-it how-to dated 10 September 2026 is a workflow when the packet may lack a deed. This page marks the guarantee document the reader already holds. Use the blog when the fight is classification without a deed in hand; use document analysis when the deed is in the packet.
Which other guarantee files belong elsewhere?
A director personal guarantee on a vendor credit application belongs on the personal guarantee vendor credit review. An authorised guarantee agreement stays held and is not written here. Bond underwriting and blank form PDFs are not this review. Scotland and Northern Ireland stay off this page as reader systems.
